MANOBAL HR SERVICES — SCALE™ AMBASSADOR AGREEMENT OF ASSOCIATION
This Agreement of Association is between Manobal HR Services ("Manobal"), the owner and developer of the SCALE™ Framework, and you ("the Ambassador"). It sets out the terms on which you are associated with SCALE™ as an Ambassador. An Ambassador earns trust through association and contribution.
1. NATURE OF THE ASSOCIATION
1.1 As an Ambassador you experience, challenge, shape and introduce SCALE™.
1.2 This is an association only. It does not create employment, agency, franchise, joint venture or partnership. You may not make commitments, quote fees, sign documents or speak on Manobal's behalf.
1.3 This agreement is separate from the Manobal Partner Agreement. If you later wish to work as a Manobal partner, that requires a separate application and acceptance of the Partner Agreement.
2. NOT A PRACTITIONER ROLE
2.1 Becoming an Ambassador does not train, certify, license or authorise you to administer, deliver, score or interpret SCALE™ diagnostics, or to advise any organisation on SCALE™ results.
2.2 You will not describe yourself as a SCALE™ practitioner, consultant, assessor, trainer or certified professional, or offer SCALE™ or any part of it as your own service.
2.3 Every SCALE™ diagnostic is delivered by Manobal HR Services. Nothing in this agreement entitles you to training, certification or delivery work.
3. WHAT YOU AGREE TO DO
3.1 Experience SCALE™ honestly and share candid feedback.
3.2 Introduce SCALE™ and Manobal's services only to people and organisations you believe they can genuinely help, and describe them accurately, using the materials Manobal provides.
3.3 Make no promises about outcomes, fees or timelines.
3.4 Tell Manobal of any conflict of interest when you make an introduction, for example if you work for, advise or hold a position in the organisation.
3.5 Follow your own employer's policies on outside associations and on receiving referral rewards.
4. THE AMBASSADOR RATE ON SCALE™
4.1 While your association is active, the organisation you work for or own may implement SCALE™ at a discount on Manobal's standard SCALE™ fees ("the Ambassador rate").
4.2 The Ambassador rate for the current period is 30% off the standard SCALE™ fee, effective from 10 October 2026.
4.3 Manobal sets the Ambassador rate for each period and may increase or decrease it at its discretion. A change is published in your partner portal and on the SCALE™ Ambassador page, and applies to engagements confirmed in writing after the change takes effect. A change of rate does not require you to accept this agreement again.
4.4 The rate that applies to an engagement is the rate in force on the date Manobal confirms that engagement in writing. A confirmed engagement is not affected by any later change.
4.5 The Ambassador rate applies to SCALE™ fees only. It is personal to you, cannot be transferred, has no cash value and cannot be combined with other offers unless Manobal agrees in writing.
5. REFERRAL REWARDS
5.1 Introductions you make are recorded in your partner portal under the Referral segment.
5.2 A referral reward is earned only when an organisation you introduced, and Manobal accepted as your introduction in the portal, confirms an engagement with Manobal. The reward is a percentage of the net realised revenue Manobal receives from that engagement, up to the Referral ceiling of 10%, agreed for each engagement and shown in your portal. It is paid within seven (7) working days after Manobal receives the client's payment, with a statement of the calculation.
5.3 No referral reward is payable on an engagement taken at the Ambassador rate by the organisation you work for or own.
5.4 Where more than one person introduces the same organisation, Manobal will decide attribution fairly and explain its decision. Payments are subject to tax deducted at source where the law requires it; Ambassadors outside India are paid in Indian Rupees or US Dollars at the bank's rate on the date of realisation.
6. RECOGNITION
6.1 Manobal may name you as a SCALE™ Ambassador on its website, LinkedIn and materials only with your consent, which you may withdraw at any time.
6.2 While your association is active you may describe yourself as a "SCALE™ Ambassador, Manobal HR Services", using that exact title.
7. FEEDBACK AND INTELLECTUAL PROPERTY
7.1 SCALE™ is a trademark of Manobal HR Services. The framework, statements, reports and methodology are protected by copyright, and a patent application has been filed. All rights remain with Manobal.
7.2 Manobal may use the feedback, suggestions and ideas you share to develop SCALE™, without obligation or payment, and will acknowledge contributions where appropriate.
7.3 You will not copy, adapt or reproduce SCALE™ materials, or create tools derived from them.
8. CONFIDENTIALITY
Keep confidential any non-public information you receive as an Ambassador, including pre-release features, benchmarks, roundtable discussions, information about other organisations, and any SCALE™ report that is not your own. This continues after the association ends.
9. NO FEE
There is no fee to become or remain an Ambassador.
10. ENDING THE ASSOCIATION
10.1 Either you or Manobal may end the association at any time by written notice; email is sufficient.
10.2 Manobal may end it immediately if this agreement is breached or if conduct could harm the reputation of SCALE™ or Manobal.
10.3 When the association ends, you stop using the Ambassador title. Referral rewards for engagements confirmed before the end date remain payable. The Ambassador rate does not apply to engagements confirmed after the end date.
11. YOUR INFORMATION
Manobal uses the information you provide to administer your association and to contact you about SCALE™, in line with its privacy policy.
12. CHANGES TO THIS AGREEMENT
Manobal may update this agreement. A new version is shown in your partner portal, and you will be asked to accept it to continue as an Ambassador.
13. GOVERNING LAW
This agreement is governed by the laws of India, and the courts of Mumbai have jurisdiction.
By accepting, you confirm that you have read and agree to this Agreement of Association.
